INFINITE BEATS DISTRIBUTION AGREEMENT Effective Date: Date of Electronic Acceptance This Distribution Agreement ("Agreement") is entered into between Infinite Beats ("Company") and the registered artist accepting this Agreement ("Artist"). 1. Purpose The Company agrees to distribute eligible music releases submitted by the Artist to digital streaming platforms and online music stores through approved distribution partners. 2. Eligibility The Artist must: * Be a registered Infinite Beats member. * Use Suno Pro, FL Studio, or other approved music creation software. * Submit original content or content for which all required licenses have been obtained. * Be at least 18 years of age or have legal guardian consent. 3. Copyright Ownership All copyrights, master rights, publishing rights, trademarks, branding rights, and intellectual property remain the exclusive property of the Artist. Nothing within this Agreement transfers ownership of any intellectual property to Infinite Beats. The Artist grants Infinite Beats a non-exclusive license solely for the purpose of distributing and promoting the submitted content. 4. Artist Warranties The Artist warrants that: * All submitted content is original or properly licensed. * No copyrights, trademarks, privacy rights, or other rights are infringed. * All featured artists and collaborators have granted permission. * Any cover songs, remixes, samples, or derivative works have obtained all necessary licenses. The Artist accepts full legal responsibility for any claims arising from submitted content. 5. Distribution Services Infinite Beats may provide: * Digital distribution * Metadata management * Cover art services * Logo design services * Promotional assistance * Pre-save campaign management * Release support Distribution acceptance is not guaranteed and remains subject to distributor and platform approval. 6. Fees Annual membership fee: R210 per year The fee may be adjusted if distributor pricing changes. Any fee adjustments shall be communicated before renewal. 7. Royalty Splits Creator Package: Artist 95% Infinite Beats 5% Professional Package: Artist 92.5% Infinite Beats 7.5% Legend Package: Artist 90% Infinite Beats 10% Royalty percentages compensate Infinite Beats for administration, support, design services, promotional services, and release management. 8. Royalty Payments Royalties will only be paid after receipt from distributors. Infinite Beats is not liable for: * Delayed royalty payments * Store reporting errors * Platform deductions * Distributor deductions * Currency conversion losses 9. Artificial Streaming Artificial streaming is strictly prohibited. This includes: * Purchased streams * Stream farms * Streaming bots * Click farms * Fraudulent playlist manipulation * Incentivized streaming campaigns Infinite Beats reserves the right to remove content, suspend accounts, or terminate services where artificial streaming is suspected or confirmed. 10. Content Removal The Artist may request content removal at any time. Removal requests remain subject to distributor processing times and platform procedures. The Artist acknowledges that removals, takedowns, and platform actions may take days or weeks depending on distributor and store processing timelines. The Artist may request a distribution ownership transfer or distributor change in the future. Infinite Beats will assist where reasonably possible, but transfer completion remains subject to distributor and platform procedures. Any outstanding fees, disputes, fraud investigations, or compliance holds must be resolved before transfer assistance will be provided. 11. Limitation of Liability Infinite Beats does not guarantee: * Revenue * Streams * Followers * Playlist placements * Viral success * Chart positions Infinite Beats shall not be liable for indirect, consequential, incidental, or special damages arising from use of the service. Infinite Beats is not responsible for actions taken by distributors, streaming platforms, rights holders, or third parties, including content removals, account suspensions, monetisation restrictions, reporting changes, or policy changes (including pricing and AI music policies). 12. Indemnification The Artist agrees to indemnify and hold harmless Infinite Beats, its staff, affiliates, contractors, and partners against all claims, damages, losses, legal costs, and liabilities arising from: * Copyright infringement * Trademark infringement * Unauthorized use of content * False ownership claims * Breach of this Agreement 13. Termination Infinite Beats may suspend or terminate services where: * Fraud is detected. * Copyright violations occur. * False information is supplied. * Terms of this Agreement are breached. 14. Electronic Signature The Artist agrees that electronic acceptance, password verification, CAPTCHA verification, and account authentication constitute a legally binding electronic signature. 15. Governing Law This Agreement shall be governed by the laws of the Republic of South Africa. Any disputes shall be subject to the jurisdiction of South African courts.
